甲方（平台方）：TikTok Shop（字节跳动旗下电子商务平台）（以下简称“甲方”）
乙方（商家）：________________（以下简称“乙方”）
鉴于甲方运营 TikTok Shop 全托管模式店铺，并拥有合作供应商资源；乙方希望通过该模式销售甲方旗下合作供应商提供的商品，双方本着平等、自愿、诚信的原则，经友好协商，就 TikTok Shop 全托管店铺合作事宜达成如下协议：
第一条 定义与解释
1.1 全托管模式：指由甲方统一负责商品上架、图片与信息制作、定价、营销推广、订单处理、仓储物流、发货履约、客服及售后等全部运营环节的合作模式。乙方无需自行上传商品图片与信息、无需自行囤货、无需自行向终端顾客发货。
1.2 商品：指由甲方旗下合作供应商提供的产品。乙方销售的是甲方合作供应商的商品，而非乙方自有产品。
1.3 利润：指在扣除商品成本及相关合理运营成本后，乙方就已完成订单所获得的净收益。
1.4 佣金：指甲方根据本协议约定，就全托管服务向乙方收取的服务报酬，按利润的3%计算，自合作第三个月起开始收取。
第二条 合作内容与服务范围
2.1 甲方为乙方提供 TikTok Shop 全托管店铺运营服务，具体包括但不限于：
- 通过甲方旗下合作供应商提供商品；
- 商品选品建议与上架管理；
- 商品图片拍摄/制作、详情页信息撰写与优化（乙方无需自行上传）；
- 商品定价策略制定与调整；
- 店铺日常运营、流量获取、内容营销及达人合作；
- 订单接收、处理与履约；
- 仓储管理、物流配送及向终端顾客发货（乙方无需自行发货或向顾客直接配送）；
- 客户咨询、售后服务及退换货处理；
- 销售数据反馈与定期运营报告。
2.2 乙方在本合作中销售的是甲方旗下合作供应商提供的商品。乙方的主要职责是及时处理订单、完成必要的履约流转，使订单顺利进入供应商发货环节。乙方无需自行囤货、无需自行向终端顾客发货、无需自行上传商品图片与信息。
第三条 佣金与结算
3.1 甲方就提供的全托管服务，向乙方收取佣金，佣金标准为乙方所获利润的3%。
3.2 佣金自双方合作的第三个月起开始收取。
3.3 利润计算方式及结算周期由双方根据实际销售数据另行确认。甲方应在每个结算周期结束后，向乙方提供利润明细及佣金计算说明，并按时完成结算。
3.4 乙方确认，佣金仅基于实际产生的利润计算，自第三个月起适用。
第四条 双方权利与义务
4.1 甲方权利与义务
- 通过旗下合作供应商向乙方提供可销售的商品；
- 按照本协议约定提供全托管运营服务，确保商品及时上架、订单及时履约；
- 妥善保管相关商品及运营资料，不得擅自用于其他目的；
- 定期向乙方反馈销售数据、库存情况及运营报告；
- 遵守 TikTok Shop 平台规则及相关法律法规；
- 有权根据市场情况调整运营策略，但重大调整应提前通知乙方；
- 保证其合作供应商提供的商品符合相关法律法规及平台要求。
4.2 乙方权利与义务
- 销售甲方旗下合作供应商提供的商品；
- 及时处理订单，完成必要的履约流转，确保订单顺利进入供应商发货环节；
- 配合甲方进行必要的沟通与资料补充；
- 遵守 TikTok Shop 平台规则及本协议约定；
- 自合作第三个月起，按时支付本协议约定的3%利润佣金。
第五条 商品质量与合规
5.1 甲方保证其旗下合作供应商提供的商品符合目标销售市场的法律法规、安全标准及 TikTok Shop 平台规则，不存在侵犯第三方知识产权或其他合法权益的情形。
5.2 如因甲方或合作供应商提供的商品存在质量问题、虚假宣传、知识产权侵权等导致投诉、处罚或损失，由甲方承担相应责任，并赔偿乙方因此遭受的直接损失。
5.3 乙方应配合甲方处理与商品相关的售后及合规事宜，但商品本身的合法性与合规性由甲方负责。
第六条 协议期限与终止
6.1 本协议自双方签署之日起生效，有效期为一年。期满前三十日，任何一方未提出书面终止意见的，本协议自动续展一年，续展次数不限。
6.2 有下列情形之一的，任何一方可书面通知对方提前终止本协议：
- 对方严重违反本协议约定，经书面催告后合理期限内仍未纠正；
- 对方进入破产、清算或类似程序；
- 因不可抗力导致协议目的无法实现且持续超过六十日。
6.3 协议终止后，双方应配合完成未结订单的履约、库存处理及费用结算。
第七条 保密条款
7.1 双方应对在合作过程中知悉的对方商业秘密、经营数据、客户信息等予以保密，未经对方书面同意，不得向第三方披露或用于本协议以外的目的。
7.2 保密义务在本协议终止后继续有效，期限为三年。
第八条 知识产权
8.1 甲方或其合作供应商保留商品本身的知识产权。甲方在运营过程中制作的商品图片、详情页内容、营销素材等知识产权归甲方所有，但乙方可在本协议范围内合理使用。
8.2 未经对方书面许可，任何一方不得使用对方的商标、商号或其他标识。
第九条 违约责任与赔偿
9.1 任何一方违反本协议约定，应承担违约责任，并赔偿因此给对方造成的直接损失。
9.2 因不可抗力导致协议无法履行的，双方互不承担违约责任，但应及时通知对方并尽力减少损失。
第十条 争议解决
10.1 本协议的订立、效力、解释、履行及争议解决均适用美利坚合众国法律。
10.2 因本协议引起的或与本协议有关的任何争议，双方应首先通过友好协商解决；协商不成的，任何一方可向有管辖权的美国法院提起诉讼。
第十一条 其他
11.1 本协议构成双方就本合作事项的完整约定，取代此前所有口头或书面沟通。
11.2 本协议的任何修改或补充，须经双方书面确认后方可生效。
11.3 本协议自双方签字之日起生效。

Party A (Platform): TikTok Shop (an e-commerce platform under ByteDance) (hereinafter referred to as “Party A”)
Party B (Merchant): ________________ (hereinafter referred to as “Party B”)
Whereas Party A operates TikTok Shop stores under the Fully Managed model and has cooperative suppliers; Party B wishes to sell products provided by Party A’s cooperative suppliers through such model, the Parties, on the principles of equality, free will and good faith, have reached the following agreement through friendly consultation regarding the cooperation on TikTok Shop Fully Managed stores:
Article 1 Definitions and Interpretation
1.1 Fully Managed Model: means the cooperation model under which Party A is solely responsible for product listing, creation of images and information, pricing, marketing and promotion, order processing, warehousing and logistics, fulfillment and shipping, customer service and after-sales support. Party B is not required to upload product images and information by itself, is not required to stock inventory by itself, and is not required to ship products to end customers by itself.
1.2 Products: means the goods provided by Party A’s cooperative suppliers. Party B sells products of Party A’s cooperative suppliers, not Party B’s own products.
1.3 Profit: means the net proceeds obtained by Party B from completed orders after deduction of product costs and related reasonable operating costs.
1.4 Commission: means the service remuneration charged by Party A to Party B for the Fully Managed services under this Agreement, calculated at 3% of the Profit, and commencing from the third month of cooperation.
Article 2 Scope of Cooperation and Services
2.1 Party A shall provide Party B with TikTok Shop Fully Managed store operation services, including but not limited to:
- Supplying products through Party A’s cooperative suppliers;
- Product selection advice and listing management;
- Product image shooting/production, detail page content writing and optimization (Party B is not required to upload such materials itself);
- Product pricing strategy formulation and adjustment;
- Daily store operations, traffic acquisition, content marketing and creator collaborations;
- Order receipt, processing and fulfillment;
- Warehouse management, logistics delivery and shipping to end customers (Party B is not required to ship or deliver directly to customers);
- Customer inquiries, after-sales service and returns/exchanges handling;
- Sales data feedback and periodic operation reports.
2.2 Under this cooperation, Party B sells products provided by Party A’s cooperative suppliers. Party B’s primary responsibility is to process orders in a timely manner and complete the necessary fulfillment workflow so that orders proceed smoothly to the supplier for shipping. Party B is not required to stock inventory, ship products to end customers, or upload product images and information by itself.
Article 3 Commission and Settlement
3.1 Party A shall charge Party B a commission for the Fully Managed services provided, at the rate of 3% of the Profit obtained by Party B.
3.2 The commission shall commence from the third month of cooperation between the Parties.
3.3 The method of calculating Profit and the settlement cycle shall be confirmed by both Parties based on actual sales data. Party A shall, after each settlement cycle, provide Party B with profit details and commission calculation statements, and complete settlement in a timely manner.
3.4 Party B confirms that the commission is calculated solely based on actual Profit generated and applies from the third month onwards.
Article 4 Rights and Obligations of the Parties
4.1 Rights and Obligations of Party A
- Provide sellable products to Party B through its cooperative suppliers;
- Provide Fully Managed operation services in accordance with this Agreement, ensuring timely product listing and order fulfillment;
- Properly safeguard relevant products and operational materials and not use them for any other purpose without authorization;
- Regularly provide Party B with sales data, inventory status and operation reports;
- Comply with TikTok Shop platform rules and applicable laws and regulations;
- Have the right to adjust operation strategies according to market conditions, provided that major adjustments are notified to Party B in advance;
- Ensure that products provided by its cooperative suppliers comply with applicable laws, regulations and platform requirements.
4.2 Rights and Obligations of Party B
- Sell products provided by Party A’s cooperative suppliers;
- Process orders in a timely manner and complete the necessary fulfillment workflow to ensure orders proceed smoothly to the supplier for shipping;
- Cooperate with Party A in necessary communications and supplementation of materials;
- Comply with TikTok Shop platform rules and the terms of this Agreement;
- Pay the 3% Profit commission as agreed in this Agreement in a timely manner starting from the third month of cooperation.
Article 5 Product Quality and Compliance
5.1 Party A warrants that the products provided by its cooperative suppliers comply with the laws, regulations, safety standards of the target sales markets and TikTok Shop platform rules, and do not infringe any third-party intellectual property rights or other legitimate rights and interests.
5.2 In the event of complaints, penalties or losses arising from product quality issues, false advertising, intellectual property infringement or similar matters related to products provided by Party A or its cooperative suppliers, Party A shall bear the corresponding responsibility and compensate Party B for any direct losses suffered thereby.
5.3 Party B shall cooperate with Party A in handling after-sales and compliance matters related to the products, provided that the legality and compliance of the products themselves shall be the responsibility of Party A.
Article 6 Term and Termination
6.1 This Agreement shall become effective upon signature by both Parties and shall remain valid for one year. If neither Party issues a written notice of termination thirty days prior to the expiry date, this Agreement shall automatically renew for successive one-year periods.
6.2 Either Party may terminate this Agreement early by written notice in any of the following circumstances:
- The other Party materially breaches this Agreement and fails to remedy such breach within a reasonable period after written demand;
- The other Party enters into bankruptcy, liquidation or similar proceedings;
- Force majeure prevents the achievement of the purpose of this Agreement and continues for more than sixty days.
6.3 Upon termination, both Parties shall cooperate to complete fulfillment of outstanding orders, inventory handling and fee settlement.
Article 7 Confidentiality
7.1 Each Party shall keep confidential any trade secrets, business data, customer information and other confidential information of the other Party obtained during the cooperation, and shall not disclose such information to any third party or use it for purposes other than this Agreement without the prior written consent of the other Party.
7.2 The confidentiality obligations shall survive the termination of this Agreement for a period of three years.
Article 8 Intellectual Property
8.1 Party A or its cooperative suppliers retain the intellectual property rights in the products. Intellectual property rights in product images, detail page content, marketing materials and similar works created by Party A during operations shall belong to Party A, provided that Party B may use them reasonably within the scope of this Agreement.
8.2 Neither Party may use the trademarks, trade names or other identifiers of the other Party without prior written permission.
Article 9 Breach and Liability
9.1 Either Party that breaches this Agreement shall bear liability for breach and compensate the other Party for direct losses caused thereby.
9.2 If performance of this Agreement is prevented by force majeure, neither Party shall be liable for breach, provided that the affected Party promptly notifies the other Party and uses reasonable efforts to mitigate losses.
Article 10 Dispute Resolution
10.1 The formation, validity, interpretation, performance and dispute resolution of this Agreement shall be governed by the laws of the United States of America.
10.2 Any dispute arising out of or in connection with this Agreement shall first be resolved through friendly consultation. If consultation fails, either Party may bring a lawsuit before a competent court in the United States.
Article 11 Miscellaneous
11.1 This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior oral or written communications.
11.2 Any amendment or supplement to this Agreement shall take effect only after written confirmation by both Parties.
11.3 This Agreement shall become effective upon signature by both Parties.
